Daniel rapidly filled out the Letter of Intent. He was structuring the buyout under a newly rapidly formed SPV (Special Purpose Vehicle) to ensure the catastrophic liabilities would instantly drain the remaining $12 million in Apex's master account.
He wasn't negotiating. He offered to assume 100% of the toxic debt and pay a 30% premium over the assessed land value, using a highly aggressive Private equity structure to maximize his upfront capital expenditure. It was a kamikaze dive into a concrete floor.
He printed the contract. The printer hummed loudly in the quiet office, spitting out twenty pages of legally binding financial doom.
Daniel grabbed his Montblanc pen, his hand remarkably steady. He had spent months trying to outsmart the system with clever algorithms and subprime theories. Now, he was just going to buy a burning building and stand inside it.
He aligned the pages, flipped to the signature line, and uncapped his pen.
Suddenly, a hand slammed down on the center of the contract.
Daniel looked up. Sloane Reed was leaning over his desk. Her eyes, usually cold and calculating, were wide with genuine alarm. She had read the target asset details on his secondary monitor.
"You can't do this, Daniel," Sloane said, her voice dropping to an urgent, desperate hiss. "I let the billing anomaly slide. I let the micro-loans slide. But Sunset Haven is currently under federal indictment for elder abuse and wire fraud. Buying this asset with Whitmore Trust capital isn't an aggressive expansion. It is a blatant, indefensible Breach of Fiduciary Duty."
Daniel tried to pull the contract away, but Sloane’s grip was like iron.
"Let go of the paper, Sloane," Daniel commanded, his voice dark and hollow. "My mother has no medication. My father is losing his house. I need the 10% failure payout. I need to lose fifteen million dollars by the end of this quarter, and this nursing home is a guaranteed incinerator."
"If you sign this," Sloane countered, for the first time completely breaking the professional distance of a compliance officer and wrapping her fingers tightly around his wrist, "you won't get a payout. You will get a federal subpoena. The SEC and the DOJ will rip you apart for intentionally acquiring a criminal enterprise. You won't save your parents, Daniel. You will go to federal prison."
Daniel stared at her hand gripping his wrist. He looked at the ink staining the tip of his pen. He was standing on the absolute edge of the abyss, and for the first time, his jailer was the only thing stopping him from jumping.
